Articles of Association

 

 

Article I. The name of this association is the West Virginia Disc Golf Association.

 

Article II. The purpose of this association is the promoting the sport of disc golf in West Virginia. This purpose shall be achieved through disc golfing events, programs and publications dedicated to public education, community involvement, and other related charitable purposes as defined in Section 501(c)3 of the Internal Revenue Code

 

Article III. Governance

 

Section A. Membership.

 

  1. This association shall have members who may vote on club matters.

  2. Lifetime membership dues are $200

  3. Memberships are $25

 

  1. Membership Renewals are $10

 

Section B. Board of Directors.

 

  1. Board members will serve a term of two (2) years and may serve consecutive terms. Board members must be current WVDGA members.

 

  1. The Board will be comprised of an odd number between 5-9 members: 6 officers and 1-3 representatives at large. The officers of the board  

         (job descriptions follow in appendices) will be:

 

          President
          Recorder
          Communications Director
          Membership Director
          Tournament Director

         Reps at large (x3) including Honorary spot to current State Coordinator
          Treasurer

 

   

 

 

  1. Board members will be elected by the Membership in November of the odd numbered year of the two-year term. Newly elected Board members' terms begin January 1 of the even numbered year of the two-year term. To facilitate continuity of the current board, special one-year terms for President, Communications Director and Treasurer elected in the year 2013, with elections to be held for full two-year term for aforementioned officers in November of odd numbered years. The President, Communications Director, Course Superintendent and Director(s) at Large will continue to be elected to two-year terms in November of even numbered years.

 

  1. Board members may elect new members to serve on the board to fill vacant seats or unexpired terms. 
  2. Succession of Officers.When the board's presidency is vacated by a resignation or removal, the recorder shall assume the president's role and responsibilities until the Board elects an interim president to fill the unexpired term. The Communications, Membership, Tournaments Director and Treasurer (in that order) will succeed a vacated presidency in the absence of a Secretary. 
  3. Removal of board members.Board members may be removed from the title, duty and responsibilities of their office by a 2/3 majority vote of the current board members for reason of malfeasance or dereliction of duties such as not attending at least one Board meeting annually.

 

  1. Business Meetings

 

  1. In order to conduct business, the Board must have a quorum present to make decisions.

 

  1. A quorum is defined as a majority of the current board of directors. A quorum must be present for all voting matters. If a meeting starts with a quorum and member(s) exit leaves less than the required majority, then a quorum is no longer present.
  2. It is expected that board members attend business meetings in person, however, business can also be conducted through telephone conference or via the internet in concerns to voting matters.
  3. The Board may assign committees to make recommendations, but all actions of the association must be approved by a majority vote of the Board.

 

Article IV. Dissolution. The association may be dissolved at any time by a unanimous action of the Board. Should the Board vote for dissolution, none of the funds and/or assets of the association may accrue to any one individual, but will be distributed to other 501(c)3 organizations that share the goals and purposes of this association.

Appendix 1: Pittsburgh Flying Disc Society elected Board member job descriptions.

 

COMMUNICATION DIRECTOR
Reports to: WVDGA members and Board of directors.
Responsibilities: Communicate current information about WVDGA events and programs to public and media through our website, press releases, flyers, business cards, email … etc.
Recruit journalists to cover and photograph stories of interest to the public and WVDGA members.
Assist local tournament directors in the promoting of their WV PDGA Point Series event.
Post all information on our web and social media sites in a user-friendly environment.
Balance an annual budget that includes the costs of producing and maintaining website, promotional materials, mailing, printing, photography, production …etc.
Length of term: Two years.
Requirements: Submit in writing reasons for wanting the position and ideas about how the organization can best promote disc golf in West Virginia; Computer skills with web-authoring programs, social media and strong event attendance for promotional consistency.
Remuneration: WVDGA merchandise at 80% of retail cost.

 

TOURNAMENTS DIRECTOR
Reports to: WVDGA members and Board of directors.
Responsibilities: Work with local Tournament Directors, Clubs and Disc Golf Promoters throughout the state to develop relationships in growing the WV PDGA Point Series. Interact with local Tournament Directors and local Disc Golfers to insure that our tournaments are the best they can be. Track and publish all Point Series Statistics on our website monthly. Create and assist on all fundraising efforts related to the Point Series.
Length of term: Two years.
Requirements: Submit in writing reasons for wanting the position and ideas about how to develop the WV PDGA Point Series with local partners, improve existing tournaments and plan for new tournaments across West Virginia.
Remuneration: WVDGA merchandise at 80% of retail cost.

 

REPRESENTATIVES AT LARGE (3)
Report to: WVDGA members and Board of directors.
Responsibilities: Work with board members on existing or special projects;
Interface with public and club members at club events and programs;
Help raise sponsorship and membership money to fund new projects.
Length of term: Two years.
Requirements: Submit in writing reasons for wanting the position and ideas about how to broaden and deepen the association's relationship with the West Virginia disc golf community, park partners and the public.
Remuneration: WVDGA merchandise at 80% of retail cost.

 

MEMBERSHIP DIRECTOR
Reports to: WVDGA members and Board of directors.
Responsibilities: Recruit new members; Insure that all members receive their membership package and any other benefits in a timely manner; Maintain membership database and provide names of new members to Communication Director for publication on website; Publish complete membership database quarterly; Balance an annual membership budget.

Length of term: Two years.
Requirements: Submit in writing reasons for wanting the position and ideas about how to increase memberships in the WVDGA; Skill to manage an online database.
Remuneration: WVDGA merchandise at 80% of retail cost

 

PRESIDENT
Reports to: WVDGA members and Board of directors.
Responsibilities: Convene bi-annual meetings of the board and members association by advertising the physical or virtual time and place of meetings through the website, bulletin boards, email, phone and personal contacts; Set and run the agenda at WVDGA meetings to accomplish business at hand, including approval of expenditures; Write or Delegate responsibility for writing official correspondence, including minutes of board meetings, letters of agreement, commendation and thanks.
Length of term: Two years.
Requirements: Submit in writing reasons for wanting the position and ideas about how to promote the growth of the club and disc sports in West Virginia. Communication skills by phone, email, bulletin board, social media and personal contacts.
Remuneration: WVDGA merchandise at 80% of retail cost.

 

RECORDER
Reports to: WVDGA members and Board of Directors.
Responsibilities: Maintain records of the association, including minutes of board meetings, bylaws, elected and appointed positions; Maintain an inventory of club assets and publish the list quarterly;
Document the archive of the association's artifacts and exhibits.
Length of term: Two years.
Requirements: Submit in writing reasons for wanting the position and ideas about how to best manage the association's records and archives.
Remuneration: WVDGA merchandise at 80% of retail cost.

 

TREASURER
Reports to: WVDGA members and Board of Directors.
Responsibilities: Deposit and disburse funds for the conduct of association business;
Maintain records of all receipts and expenditures; Prepare quarterly and year-end financial reports;
Establish and maintain relationship with our chosen bank, including signers on the account and electronic transactions.
Length of term: Two years.
Requirements: Submit in writing reasons for wanting the position and ideas about how to best manage and grow the association's financial resources.
Remuneration: WVDGA merchandise at 80% of retail cost

Appendix 2: West Virginia Disc Golf Association appointed positions.

 

COURSE PROMOTERS
Reports to: WVDGA Board of directors
Responsibilities: Organize at least one PDGA or WVDGA sanctioned tournament per year;
Run a weekly league or monthly tournament;
Maintain course bulletin board and scorecard box;
Develop and implement education programs;
Organize regular course improvements including signage, tee boxes, pruning, pin placements, benches, trash removal and any other general maintenance. Collect player information and forward to Membership Directors; Balance an annual budget for the course.
Length of term: One year.
Requirements: Submit in writing reasons for wanting the position and ideas about how to promote disc golf at specific places in West Virginia. Course Promoters do not have to be professional players, and more than one person can function as course promoter (two as a team).
Remuneration: WVDGA merchandise at 80% of retail cost.

 

 

 

TOURNAMENT DIRECTORS
Reports to: WVDGA Board of directors
Length of term: One year.
Responsibilities: Recruit and lead an event staff for WV PDGA Point Series Events in your area.
Write proposals, follow-ups, results and thank-you letters for sponsorship contacts;
Help raise funds for local charity tie-in;
Balance an event budget;
Develop artwork and logos for tournament brand;
Develop and distribute signage for sponsors and events;
Secure sanctioning agreements from PDGA and the WVDGA;
Secure facilities and event permits from parks partners;
Ensure prompt payment of event vendors and suppliers;
Complete accurate and timely recordkeeping and results reports for sanctioning organizations.
Requirements: Submit in writing reasons for wanting the position, experience at running tournaments and ideas about how to raise the level of prestige and standing for WVDGA events in the West Virginia disc golf community.
Remuneration: 10% of PDGA-sanctioned tournament net; WVDGA merchandise at 80% of retail cost.
